Draft for legal review before commercial launch
Terms of service
The principles governing scope, authorization, payment, delivery and use of reports.
1. Services and scope
Priority Prime provides remote, project-based technology and digital-security audits. The written proposal or service agreement identifies the authorized assets, checks, exclusions, deliverables, timetable and final price for each engagement.
Services do not include ongoing monitoring, managed security, legal advice, financial auditing or advanced penetration testing unless expressly stated in the agreed scope.
2. Client authorization and cooperation
The client confirms that it owns the assets in scope or has sufficient authority to authorize the work. The client must not request testing of third-party systems without authorization and must provide accurate information, reasonable access and timely cooperation.
Passwords should not be sent. Where access is necessary, temporary least-privilege accounts or supervised screen sharing should be used whenever practical.
3. Price and payment
Published prices are indicative in USD. The final price is confirmed after scope is defined and is payable in advance unless the written agreement states otherwise. Priority Prime may provide a Stripe Payment Link or bank-transfer instructions directly to the client. The website does not process or store payment-card details.
4. Timing and delivery
Most audits are expected to take 1–2 weeks after scope, payment and required access are confirmed. Complex engagements may take approximately 3 weeks. These are estimates, not guaranteed completion dates.
The usual deliverable is a professional PDF report with an executive summary, findings, prioritized risks and actionable recommendations, followed by an approximately 30-minute final review session.
5. Confidentiality and data handling
Each party should protect confidential information received from the other and use it only for the engagement, except where disclosure is authorized or legally required. Priority Prime follows a minimal-collection and minimal-retention approach and seeks to avoid retaining unnecessary client content.
6. Cancellations and rescheduling
For business services, a cancellation made at least 48 hours before scheduled work may qualify for a refund, subject to the written agreement and work already performed. Later cancellations are not necessarily refundable, but reasonable rescheduling may be offered.
Mandatory consumer cancellation, withdrawal, refund and other rights under applicable law always prevail over this commercial policy.
7. Reports and intellectual property
The client may use the final report internally and share it with professional advisers when necessary. The client retains ownership of its own data. Priority Prime retains its pre-existing methods, templates, processes, methodologies and know-how. No public use of Priority Prime’s name or report as an endorsement is permitted without written approval.
8. Limitations
An audit is a review of an agreed scope at a particular time and under particular conditions. Systems and risks can change afterward. Priority Prime does not promise absolute security, complete elimination of risk, future absence of incidents or that a system is impossible to compromise.
To the maximum extent permitted by applicable law, liability will be addressed in the written service agreement and limited in a fair manner appropriate to the engagement. Nothing in these terms excludes rights or liabilities that cannot legally be excluded or limited.
9. General
If these website terms conflict with a signed service agreement, the signed agreement controls for that engagement. Governing law, dispute terms and any jurisdiction-specific provisions should be confirmed in that agreement. Questions may be sent to info@priorityprime.co.
